Brand Agreement
Brand obligations for responsible briefs, creator rights, team access, truthful marketing, payment, and review.

1. Authority and organization access
You represent that you have authority to act for the brand, product, service, and assets you place on Foleo. Keep your organization profile accurate and grant teammates only the access they need. Organization owners and administrators are responsible for access they grant, including campaign, review, finance, and viewer permissions.
Do not share one login across a team, create false organizations, or use brand access to obtain competitor intelligence, personal data, or private creator records for an improper purpose. Private CRM notes, tags, shortlists, and relationship stages are confidential and may be used only for legitimate marketplace decisions.
2. Responsible briefs and paid work
Every campaign, direct collaboration request, and Clip Brief must state a clear product or service context, deliverables, deadline, selection method, review standard, compensation, source materials, disclosures, content restrictions, and intended rights. You must have rights to all materials, marks, links, and claims that you provide.
Do not request unpaid speculative finished work. In curated Open Briefs, creators apply with profiles, samples, and an idea before selection. In fast-track campaigns, only eligible creators who accept the published versioned terms may claim a finite funded slot. In Clip Briefs, participants must see clear payout rules and accept terms before they create or publish final work.
3. Marketing truthfulness and disclosures
You are responsible for ensuring that your campaign instructions, claims, comparisons, testimonials, and assets are truthful, substantiated, and lawful in every relevant market. Do not direct creators to conceal compensation, make false or unsubstantiated claims, target prohibited audiences, evade platform rules, or present advertising as independent editorial content.
Require a clear, conspicuous sponsorship or material-connection disclosure whenever it is required by law, platform rules, or the accepted terms. A hidden logo, brief mention, opaque hashtag, or disclosure placed where viewers will likely miss it is not an adequate substitute for transparent advertising disclosure.
4. Terms, selection, and change control
Set compensation, slots, performance caps, eligibility, timelines, source-use permissions, review criteria, and rights before a creator is selected, confirms a funded slot, or accepts Clip Brief terms. A creator's accepted version must remain attached to that creator's record. You may not unilaterally reduce or rewrite accepted compensation, rights, deadlines, disclosure duties, or deliverable scope retroactively.
If a legitimate change is needed after acceptance, create a new record or obtain the affected creator's clear agreement. Foleo may pause or require review of a changed campaign where the change would create ambiguity, unpaid work risk, safety risk, or a conflict with the original accepted terms.
5. Source assets, intellectual property, and data
You grant participating creators only the limited rights needed to create the accepted work under the accepted record. Do not provide copyrighted, confidential, personal, or restricted source material unless you have the necessary rights and have stated any handling, deletion, attribution, or use restrictions.
You receive creator work only under the rights stated in the accepted record. A creator's public profile, samples, application, private message, or rejected submission does not grant a license to reuse the creator's content, likeness, concept, or confidential information. Do not scrape, export, resell, or disclose private marketplace data except as permitted by the Service and law.
6. Review, payment, and performance records
Review submissions promptly and against the stated criteria. Approve, request a focused correction, or reject with a genuine reason tied to the accepted terms. Do not use open-ended review, delayed response, or a demand for unrelated changes to avoid payment for accepted and compliant work.
Fund, pay, and reimburse obligations through the applicable Foleo workflow when available. For performance-based Clip Briefs, creator metrics and evidence are subject to the stated lock window and human reconciliation. Payouts are calculated from verified views after applicable caps and budget limits; Foleo does not promise real-time platform verification or a result beyond the accepted payout model.
7. Enforcement and independent relationship
Foleo may require campaign edits, remove content, pause a campaign, restrict access, preserve records, or escalate a report where it identifies safety, fraud, intellectual-property, privacy, advertising, payment, or policy risk. You must cooperate with reasonable information requests connected to a review.
Creators are independent service providers, not your employees, agents, or representatives, unless you separately establish that relationship in writing outside Foleo. You are responsible for your own tax, employment, consumer-protection, advertising, and regulatory obligations.
